1. Agreement
These Terms of Service ("Terms") govern your access to and use of CaesarCRM and related services ("Services") provided by Friars Technologies Limited ("we", "us", "our"), whose registered address is Unit A, 82 James Carter Road, Mildenhall, IP28 7DE, United Kingdom. By creating an account, signing in, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Services.
2. Account and use
You must provide accurate information and keep your account secure. You are responsible for all activity under your account. You must use the Services in compliance with applicable laws and must not use them to harm others, infringe rights, distribute malware, or abuse or overload our systems. We may suspend or terminate access for breach of these Terms or for any reason we consider necessary to protect the Services or others.
3. Our services
We provide the Services on an "as is" and "as available" basis. We use reasonable efforts to maintain availability and security but do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components. Features, pricing and functionality may change. Our use of data, including for improving our services and AI/ML systems, is described in our Privacy Policy.
4. Your content and data
You retain ownership of content and data you submit. You grant us a non-exclusive, royalty-free, worldwide licence to use, store, process, display, analyse and create derivative works from that content and data as necessary to provide, improve and secure the Services (including for analytics, product development and machine learning as set out in our Privacy Policy). This licence does not require us to pay you or to account to you for any such use or for any benefit or revenue we derive from it. Our use of your content and data is not subject to any restriction beyond what is set out in our Privacy Policy and in applicable law.
You are responsible for ensuring you have the right to provide such content and that it does not violate any law or third-party rights.
5. Intellectual property
We and our licensors own all rights in the Services, including software, design, branding and documentation. You receive only a limited, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works from the Services except as expressly permitted.
6. Payment
Paid plans are billed in accordance with the pricing and cycle you select. Fees are non-refundable except where required by law or as stated in our refund policy. We may change fees on reasonable notice. Failure to pay may result in suspension or termination of access.
7. Disclaimer of warranties
To the fullest extent permitted by applicable law, the Services are provided without warranties of any kind, whether express, implied or statutory. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement and accuracy. Your use of the Services is at your sole risk. Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law.
8. Limitation of liability
To the maximum extent permitted by applicable law:
- We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
- Subject to the above, we shall not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for loss of profits, revenue, data, goodwill or business opportunity, whether in contract, tort (including negligence), breach of statutory duty or otherwise.
- Our total aggregate liability to you in respect of all claims arising out of or in connection with these Terms or the Services (whether in contract, tort or otherwise) shall not exceed the greater of: (a) the fees you paid to us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (GBP 100).
These limitations apply even if we have been advised of the possibility of such loss and whether or not such loss was foreseeable. You acknowledge that the allocation of risk in these Terms is reasonable and that we would not provide the Services without these limitations.
9. Indemnity
You agree to indemnify, defend and hold harmless Friars Technologies Limited, its affiliates, and their respective officers, directors, employees and agents from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your content or data; (c) your breach of these Terms or any law; or (d) any dispute between you and a third party relating to the Services. We reserve the right to assume the exclusive defence and control of any matter subject to indemnity by you, at your expense.
10. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Services, save that we may bring proceedings in any jurisdiction where you are located or where a breach has occurred.
11. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. We may assign or transfer our rights and obligations under these Terms; you may not assign without our prior written consent. These Terms, together with our Privacy Policy and any order or pricing terms you accept, constitute the entire agreement between you and us regarding the Services.
